Voorwoord De 20e editie van de KWPN Select Sale staat voor de deur. Al twee decennia lang mogen wij van dit prachtige podium in Den Bosch gebruik maken om een aantal van de beste hengsten van hun jaargang te veilen. Elk jaar opnieuw bewijst de veiling zowel goede sportpaarden als dekhengsten voort te brengen. Kaiden (v.Chaman), de KWPN-goedgekeurde hengst, werd geveild in de veiling van 2018 en siert dit jaar de cover. Hij wist afgelopen zomer de Blom Cup voor 4-jarige springpaarden te veroveren onder het zadel van Bart Lips. In hetzelfde jaar werd ook Kallas (v.Dallas VDL) geveild, inmiddels is ook deze hengst KWPN goedgekeurd en volgde hij in de Blom Cup voor 4-jarige springpaarden Kaiden op met een tweede plaats in het eindklassement. In de veiling van 2017 werden onder andere Jumper Verdi (v.Verdi) en Just One (v.Toulon) verkocht. Jumper Verdi gaat momenteel aan de leiding in het tussenklassement van de Blom Hengstencompetitie en ook Just One doet mee in de top van het tussenklassement. Ook bij de dressuurpaarden zien we dit jaar een aantal bekende veilingpaarden terug in Den Bosch. Zo treedt het zilveren EK team op vrijdagavond aan met twee KSS geveilde paarden, namelijk GLOCK’s Dream Boy N.O.P. en MDH Avanti N.O.P.! Een aantal van de vorig jaar geveilde hengsten nemen op het moment van drukken van deze catalogus nog deel aan het najaarsonderzoek om het KWPN-dekbrevet te behalen. In het voorjaar zijn er al een aantal KSS-paarden goedgekeurd. Deze KWPN-goedgekeurde hengsten zijn te bewonderen op donderdagmiddag voorafgaand aan de springpaardenveiling en op vrijdagavond (dressuurhengsten). De veiling voor dressuurhengsten vindt plaats op zaterdagmiddag 1 februari. Het team rondom de KWPN Select Sale presenteert u enthousiast en met gepaste trots de geselecteerde collectie in deze catalogus. Als aanvulling op deze collectie worden er eventueel nog enkele premiehengsten als wildcard aan de veiling toegevoegd. Namens de KWPN Select Sale wens ik u een plezierige veiling toe.  INFORMATIE De KWPN Select Sale wordt ook in de 20e editie weer gesplitst in een springpaardenveiling op donderdag 30 januari en een dressuurpaardenveiling op zaterdag 1 februari 2020. Naast de collectie hengsten uit deze catalogus, zullen er in ‘s-Hertogenbosch eventueel nog een aantal Wildcards aan de collectie worden toegevoegd. Deze zullen op de dag van de veiling bekend worden gemaakt. De stokmaten van de paarden zijn opgenomen tijdens de eerste bezichtiging in Ermelo. De catalogusvolgorde wijkt af van de veilingvolgorde. De veilingvolgorde zal voor aanvang van de veiling bekend worden gemaakt. KSS SALESROOM VERZEKERING Voor al uw vragen over de KWPN Select Sale kunt u terecht in de KSS Salesroom in de Brabanthallen, ‘s-Hertogenbosch. U kunt in de KSS Salesroom de video’s van de verrichtingen van alle hengsten terug kijken via KWPN.TV. Hier is ook de veterinaire informatie van de deelnemende veilinghengsten in te zien en zal er een dierenarts aanwezig zijn om deze informatie toe te lichten. Indien u eerder veterinaire toelichting wenst over één van de paarden, kunt u contact opnemen met de organisatie, deze zal u in contact brengen met één van de veterinairen. De veilingpaarden zullen op de dag van de veiling vanaf 10.00u in de KSS stallen te bezichtigen zijn. BIEDEN VIA TELEFOON Mocht u niet aanwezig kunnen zijn bij de veiling, maar wel interesse hebben om een paard te kopen in de veiling dan kunt u telefonisch bieden. Hiervoor dient u zich voorafgaand aan de veiling te melden bij de organisatie via selectsale@kwpn.nl 4 Xcellent Horse Insurance biedt nieuwe eigenaren de mogelijkheid hun aankoop direct te verzekeren. Op het aankoopformulier wordt de optie geboden het paard direct te verzekeren. VEILINGVOORWAARDEN In deze catalogus en op de website www. kwpn.nl/selectsale zijn de complete veilingvoorwaarden opgenomen. In geval van een geschil is de Nederlandse versie van toepassing. BTW Op de lijst van de te veilen hengsten wordt aangegeven of de hengst met of zonder BTW wordt verkocht. De BTW regelgevingen die gelden per BTW plichtige hengst zullen op de dag van de veiling bekend worden gemaakt. De BTW wordt in meerdering gebracht op het aankoopbedrag.

INFORMATION  The 20th edition of the KWPN Select Sale will again be presented in two seperate auctions: the jumping stallion auction will take place on Thursday January 30th and the dressage stallion auction on Saturday February 1st 2020. Next to the stallions in this catalogue, there is a possibility that there will be some Wildcards added to the collection in ‘s-Hertogenbosch. These wildcards will be announced at the day of the auction. The height of the horses is measured during the first selection round in Ermelo. The stallions will be shown in a diffrent order to that in the catalogue. The official auction order will be announced at the beginning of the auction. KSS SALESROOM INSURANCE If you have any questions about the KSS stallions, please visit us in the KSS Salesroom in the Brabanthallen in ‘s-Hertogenbosch. Here you can find videos of all stallions via KWPN.TV. Veterinary information on each auction stallion is available for viewing in the KSS Salesroom. There will be a veterinarian present to supply explanations. If you require information on x-rays or/and veterinary reports before the auction period this can be arranged by contacting the organization via selectsale@kwpn.nl. The KSS stallions may be viewed in the stabling area of the KSS from 10AM at the day of the auction. BIDDING BY TELEPHONE For those who cannot attend the auction it is possible to bid by telephone. To make a bid by phone you have to register yourself before the auction at the auction organisation via selectsale@kwpn.nl Xcellent Horse Insurance offers new owners the possibility to insure their newly purchased stallion directly after the auction. The option for the purchaser to immediately insure the stallion can be found on the purchase form. CONDITIONS OF AUCTION In this catalogue the complete conditions of auction can be found. In case of dispute only the Dutch version is binding. The English version is only meant as an explanation of the Dutch version. VAT Each stallion on the list has an indication whether it will be sold with or without VAT. The VAT regulations per stallion will be announced at the day of the auction. Stallions sold with VAT will have surcharge of a percentage of the purchase price added. 5

This pedigree continues with the sires Quinta Real and LandjunkerII, and that results in his granddam Lambada, she is a half-sister to the 1.45m horse Carlsberg 2 (s.Capitol). Algemene Voorwaarden voor Veilingen KWPN 1. ALGEMEEN 1.1. Definities In deze algemene voorwaarden hebben de volgende begrippen de volgende betekenis: • Aflevercontract: het door Koper en Verkoper ingevulde en ondertekende aflevercontract, waaruit blijkt dat afname van het Paard door Koper heeft plaatsgevonden; • • • Afslagbedrag: een door de Bieder op een Veiling voor een Paard geboden bedrag; Algemene Voorwaarden: deze algemene voorwaarden voor veilingen KWPN, zowel de Online Veilingen alsook de Fysieke Veilingen; Bieder: degene die zich op een door KWPN voorgeschreven wijze registreert of heeft geregistreerd om deel te kunnen nemen aan een Online Veiling alsook degene die tijdens een Fysieke Veiling op (een) Paard(en) biedt; • Consument: de natuurlijke persoon die niet handelt voor doeleinden die verband houden met de uitoefening van een handels- , bedrijfs-, ambachts- of beroepsactiviteit; • • Deelnemer: een deelnemer aan de Veiling, in de hoedanigheid van Bieder, Koper of Verkoper; Gunning: de uitdrukkelijke verklaring van KWPN (namens de Verkoper) aan de Koper dat een bod van Koper als hoogste bod is aanvaard en dat het Paard waarop door de Koper een bod is uitgebracht aan de Koper is gegund. Deze verklaring geldt als een aanvaarding namens de Verkoper in de zin van artikel 6:217 Burgerlijk Wetboek. Deze verklaring bestaat uit de Verklaring Koopovereenkomst; • • • Inschrijving: de inschrijving van Verkoper bij KWPN om een Paard namens Verkoper door KWPN ter Veiling aan te bieden; Koopovereenkomst: de koopovereenkomst tussen Verkoper enerzijds en Koper anderzijds die tot stand komt als gevolg van de Gunning; Koopsom: het door Koper verschuldigde bedrag voor het ter Veiling aangeboden Paard bestaande uit het Afslagbedrag plus het Opgeld, een en ander te vermeerderen met het van toepassing zijnde BTW tarief; • • 92 Koper: de Bieder aan wie Gunning heeft plaatsgevonden; KWPN: zowel (i) de vereniging Koninklijk Warmbloed Paardenstamboek Nederland in het geval • • • • • deze vereniging de Veiling en de Veilingdienst faciliteert alsook (ii) de stichting KWPN Select Sale (‘KSS’) in het geval deze stichting de Veiling en de Veilingdienst faciliteert; Paard: een veulen, merrie of hengst; Persoonsgegevens: de (persoons)gegevens die bij registratie door een Deelnemer aan KWPN dienen te worden verstrekt om als Deelnemer te kunnen deelnemen aan een Online Veiling en die tot zijn of haar persoon herleidbaar zijn; • • • • • • Online Stallion Action: de KWPN Online Stallion Auction; Online Veulenveiling: de KWPN Online Veulenveiling; Opgeld: een bedrag waarmee het Afslagbedrag wordt verhoogd en dat 10 % van het Afslagbedrag bedraagt; Select Sale: de Fysieke Veiling voor Springhengsten en Dressuurhengsten te ’s-Hertogenbosch; Terugkoop: indien Koper tevens Verkoper is van het ter Veiling aangeboden Paard; Veiling: de door KWPN georganiseerde en gefaciliteerde veiling voor de verkoop van een of meerdere Paarden. Dit kunnen zowel de door KWPN georganiseerde en gefaciliteerde fysieke veilingen op locatie zijn (‘Fysieke Veiling’) alsook de door KWPN georganiseerde en gefaciliteerde online veiling via de Veilingwebsite (‘Online Veiling’); • • • Veilingdienst: het bemiddelen bij het tot stand brengen van een Koopovereenkomst door het faciliteren van een Veiling; Veilingwebsite: de veilingwebsite waarmee KWPN haar Veilingdienst aanbiedt; Verklaring Koopovereenkomst: de door KWPN (namens Verkoper) aan de Bieder/Koper toegezonden c.q. verstrekte en door Bieder/Koper in te vullen en te ondertekenen verklaring koopovereenkomst; Verkoop: indien Koper een ander is dan Verkoper; Verkoper: de natuurlijke persoon of rechtspersoon die aan KWPN opdracht heeft gegeven tot het in naam van en voor rekening van Verkoper, verkopen van een of meerdere Paarden middels een Veiling; Young Jumping Foal Sale: de KWPN Young Jumping Foal Sale Veulenveilingen;

Algemene Voorwaarden voor Veilingen KWPN 1.2. Toepasselijkheid Algemene Voorwaarden 1.2.1. Deze Algemene Voorwaarden zijn van toepassing op de rechtsverhoudingen tussen KWPN en Deelnemer. Deelnemer wordt geacht de toepasselijkheid van deze Algemene Voorwaarden te hebben aanvaard. Toepasselijkheid van andere algemene voorwaarden is uitgesloten. 1.2.2. Alle bedingen in deze Algemene Voorwaarden zijn mede gemaakt ten behoeve van al diegenen die voor, ten behoeve van en/of namens KWPN werkzaam zijn of waren. Zij kunnen op de bepalingen van deze Algemene Voorwaarden rechtstreeks een beroep doen, als waren zij zelf KWPN. 1.3. Veiling 1.3.1. KWPN organiseert en faciliteert de Veiling en veilt één of meerdere Paarden in opdracht van Verkoper, zonder partij te zijn of te worden bij tot stand te komen of gekomen Koopovereenkomsten. 1.3.2. KWPN bepaalt de data en tijdstippen waarop de Veiling plaatsvindt. 1.3.3. Een Online Veiling sluit op vooraf aangegeven datum en tijdstip. De duur van de Online Veiling staat aangegeven op de Veilingwebsite. Indien de laatste vijf minuten voor de aangegeven sluitingstijd een bod wordt uitgebracht wordt de sluitingstijd (steeds) met twee minuten verlengd. Definitieve sluiting vindt vervolgens plaats twee minuten na het laatste bod. 1.3.4. Een Fysieke Veiling vindt plaats onder leiding van een door KWPN aangestelde veilingmeester. 1.3.5. Een Fysieke Veiling vindt plaats onder toezicht van een door KWPN aangestelde notaris. 1.3.6. KWPN bepaalt de orde en de volgorde van de Veiling. KWPN heeft het recht een ieder zonder opgaaf van redenen toegang tot en/of deelname aan en/of Inschrijving voor de Veiling te weigeren, dan wel (nadere) voorwaarden hieraan te stellen. 1.3.7. De ter Veiling aangeboden Paarden worden voetstoots geveild/verkocht zonder actie of refactie, in de staat waarin zij zich bij Gunning bevinden, zonder aansprakelijkheid van KWPN betreffende de waarde, de staat of de hoedanigheid van geveilde Paarden. 1.3.8. Tussen Koper en Verkoper komt een Koopovereenkomst tot stand als gevolg van de Gunning. KWPN zal daartoe bij Fysieke Veilingen een schriftelijke Verklaring Koopovereenkomst aan Koper verstrekken ten tijde van de Veiling en bij Online Veilingen een schriftelijke Verklaring Koopovereenkomst aan Koper verzenden en Koper is verplicht deze volledig ingevuld en ondertekend binnen zeven kalenderdagen na verzending te retourneren aan KWPN. 1.3.9. Ter Veiling aangeboden Paarden worden “bij opbod” verkocht met een ter Veiling bekend minimum openingsbod, tenzij KWPN bepaalt dat de Veiling, of een gedeelte daarvan, zal geschieden ”bij opbod en afslag”. KWPN is op elk moment tijdens de Veiling gerechtigd de wijze waarop de Veiling plaatsvindt te veranderen. Zowel in geval van een Veiling “bij opbod” als in geval van een Veiling bij “opbod en afslag” is steeds slechts sprake van een uitnodiging van de Verkoper tot het doen van een aanbod. KWPN is gerechtigd om, indien daarvoor naar het oordeel van KWPN redelijke gronden zijn, een bod niet te erkennen. 1.3.10.Verkoper stelt Bieder in de gelegenheid om desgewenst ter Veiling aangeboden Paarden voorafgaand aan de Veiling te bezichtigen. Dit staat vermeld in de aanvullende voorwaarden van de betreffende Veiling. 1.4. Levering 1.4.1. In de aanvullende voorwaarden van de betreffende Veiling staat vermeld hoe levering en afname van het gekochte Paard plaatsvindt. 1.4.2. Afname/levering kan pas plaatsvinden nadat de volledige Koopsom en het overige verschuldigde door Koper aan KWPN is voldaan. Zolang KWPN geen algehele betaling van Koper heeft ontvangen, ook krachtens eventuele andere koopovereenkomsten, blijft Verkoper eigenaar van het Paard. 1.4.3. Pas na schriftelijke toestemming van KWPN is Verkoper bevoegd het verkochte Paard aan Koper te leveren. 1.4.4. Koper is gehouden het Paard uiterlijk binnen 14 kalenderdagen na algehele betaling aan KWPN bij Verkoper af te nemen. Indien Koper de afname weigert of nalatig is, is Koper in verzuim jegens Verkoper en onder meer gehouden om de schade van de Verkoper te vergoeden onverminderd enig ander recht en om alle daaraan verbonden aanvullende kosten, waaronder de stallingskosten, te voldoen, in 93

Algemene Voorwaarden voor Veilingen KWPN welk geval de Verkoper het Paard pas afgeeft indien en zodra voornoemde kosten volledig heeft voldaan. 1.4.5. Verkoper dient aan Koper bij afname/levering van het Paard het paspoort en registratiepapier van het Paard aan Koper af te geven. 1.4.6. De Koper dient bij de afname/levering van het gekochte Paard de nodige voorzichtigheid in acht te nemen en aanwijzingen door of namens de Verkoper gegeven onvoorwaardelijk en onverkort op te volgen. Koper is aansprakelijk voor bij of in het kader van de afname/ levering van het gekochte Paard veroorzaakte schade en zal KWPN en Verkoper vrijwaren voor aanspraken van derden terzake. 1.4.7. In de aanvullende voorwaarden van de betreffende Veiling staat vermeld wanneer risico overgang van het Paard plaatsvindt. 1.4.8. Verkoper en Koper zijn gehouden, binnen 7 kalenderdagen nadat het Paard is afgenomen/ geleverd, KWPN daarvan schriftelijk mededeling te doen door het insturen van een Aflevercontract. 1.4.9. Tot het moment dat levering/afname van het Paard heeft plaatsgevonden en totdat KWPN algehele betaling van Koper, ook uit hoofde van eerdere overeenkomsten, heeft ontvangen, heeft KWPN retentierecht op het Paard. 1.4.10.Mocht Koper van oordeel zijn dat er bij het Paard sprake is van een stalondeugd, stalondeugden of andere gebreken, dan dient Koper KWPN binnen 7 kalenderdagen na feitelijke levering/afname schriftelijk met een zo gedetailleerd mogelijke omschrijving van de aard van het stalondeugd en/of gebreken op de hoogte te stellen. KWPN zal het Paard door een door haar aan te wijzen veterinair laten onderzoeken. Indien naar oordeel van die veterinair de door Koper omschreven stalondeugden en/of gebreken worden geconstateerd, dient Verkoper de ter zake gemaakte kosten te voldoen. De Koper dient gemaakte kosten te voldoen wanneer de veterinair het stalondeugd en/of gebreken niet constateert. 1.5. Eigendomsovergang De eigendom van het gekochte Paard gaat (indien aan alle voorwaarden voor een rechtsgeldige overdracht is voldaan) op de Koper over op het moment van levering / afname als bedoeld in artikel 1.4 van deze Algemene 94 Voorwaarden, maar niet eerder dan nadat de Koper de volledige koopsom en eventueel overige door Koper verschuldigde bedragen aan KWPN, die daarbij optreedt namens de Verkoper, heeft voldaan, waaronder die betrekking hebben op de ten behoeve van de Koper verrichte of te verrichten werkzaamheden en/ of vanwege vorderingen wegens tekortschieten in de nakoming van de Koopovereenkomst. 1.6. Herroepingsrecht bij Consument Koper bij een Online Veiling 1.6.1. Indien Koper een Consument betreft, kan de Koper een Koopovereenkomst met betrekking tot de aankoop van een Paard via een Online Veiling gedurende een bedenktijd van maximaal 14 kalenderdagen zonder opgave van redenen op basis van het wettelijk herroepingsrecht van artikel 6:230o e.v. Burgerlijk Wetboek ontbinden. De Verkoper mag de Koper vragen naar de reden van herroeping, maar deze niet tot opgave van zijn reden(en) verplichten. De in dit artikel genoemde bedenktijd gaat in op de dag nadat de Koper, of een vooraf door de Koper aangewezen derde, die niet de vervoerder is, het gekochte Paard heeft ontvangen. 1.6.2. Als de Koper gebruik maakt van het wettelijke herroepingsrecht, meldt de Koper dit binnen de bedenktermijn op ondubbelzinnige schriftelijke wijze aan de Verkoper en KWPN. Zo snel mogelijk, maar binnen 14 kalenderdagen vanaf de dag volgend op de in dit artikel bedoelde melding, zendt de Koper het Paard terug, of overhandigt de Koper het Paard aan Verkoper. Dit hoeft niet als de Verkoper heeft aangeboden het Paard zelf af te halen. De Koper heeft de terugzendtermijn in elk geval in acht genomen als hij het Paard terugzendt voordat de bedenktijd is verstreken. 1.6.3. De Koper retourneert het Paard met alle geleverde toebehoren, en conform de door de Verkoper verstrekte redelijke en duidelijke instructies. 1.6.4. Het risico en de bewijslast voor de juiste en tijdige uitoefening van het herroepingsrecht ligt bij de Koper. 1.6.5. De kosten verband houdende met het terugzenden zijn voor rekening van Koper. 1.6.6. Koper zal tijdens de bedenktijd en terugzending zorgvuldig omgaan met het Paard en,

Algemene Voorwaarden voor Veilingen KWPN indien verstrekt, volgens instructie van Verkoper. 1.6.7. Als de Koper gebruik maakt van het wettelijke herroepingsrecht, worden alle aanvullende overeenkomsten van rechtswege ontbonden. 1.6.8. Verkoper betaalt de Koopsom (inclusief eventuele bezorgkosten voor aflevering bij Koper) terug aan Koper, onverwijld doch binnen 14 kalenderdagen volgend op de dag waarop de Koper de herroeping meldt. Tenzij de Verkoper aanbiedt het Paard zelf af te halen, mag de Verkoper wachten met terugbetalen tot hij het Paard heeft ontvangen. 1.6.9. Verkoper gebruikt voor terugbetaling hetzelfde betaalmiddel dat de Koper heeft gebruikt, tenzij de Koper instemt met een andere methode. De terugbetaling is kosteloos voor de Koper. 1.6.10.Als de Koper heeft gekozen voor een duurdere methode van levering dan de goedkoopste standaardlevering, hoeft de Verkoper de bijkomende kosten voor de duurdere methode niet terug te betalen. 1.6.11.Dit artikel 1.6 is uitsluitend van toepassing bij de aankoop van een Paard door een Consument Koper via een Online Veiling. 1.7. Informatie 1.7.1. KWPN stelt de (digitale) catalogus zo zorgvuldig mogelijk samen. De informatie in de (digitale) catalogus is erop gericht een indruk te geven van de kwaliteit van de ter Veiling aangeboden Paarden, zonder dat KWPN hiermee volledigheid betracht en zonder dat daaraan rechten kunnen worden ontleend. 1.7.2. Mocht het ter Veiling aangeboden Paard een veterinaire keuring moeten ondergaan als onderdeel van de selectieprocedure voor de Veiling, dan zijn deze veterinaire rapporten op te vragen bij KWPN. De inhoud van deze veterinaire rapporten is bindend voor KWPN en voor de Deelnemer. 1.8. Omzetbelasting 1.8.1. KWPN is ondernemer voor de omzetbelasting. Wijzigingen ten aanzien van het geldende BTW-tarief kunnen aanleiding zijn voor een overeenkomstige aanpassing van de toe te passen BTW percentages. 1.8.2. Per Paard wordt voorafgaand aan de Veiling kenbaar gemaakt onder welk BTW regiem het betreffende Paard wordt geveild. 1.8.3. Indien ter zake van de overgang van geveilde Paarden naar een andere lidstaat van de Europese Unie op verzoek van de Koper wordt gefactureerd met het BTW-nultarief, verplicht de Bieder/Koper zich alle daartoe noodzakelijke voorwaarden te vervullen teneinde een rechtsgeldige intracommunautaire transactie te verwezenlijken. 1.8.4. Indien toepassing van het BTW-nultarief door welke omstandigheid dan ook (achteraf) niet mogelijk blijkt, is de Koper op dat moment alsnog een bedrag verschuldigd ter grootte van het bedrag dat verschuldigd zou zijn indien sprake is van een binnenlandse levering van het desbetreffende Paard. Op verzoek van KWPN is de Koper echter verplicht vorenbedoeld bedrag onmiddellijk aan KWPN te voldoen. Alsdan zal terugbetaling daarvan eerst en slechts plaatsvinden indien de Koper naar genoegen van KWPN aan de voorwaarden volgens artikel 1.8.3 heeft voldaan. De Koper is aansprakelijk en vrijwaart KWPN in ieder geval voor alle schade die voortvloeit uit het niet voldoen aan de voorwaarden van artikel 1.8.3. Daarnaast is de Koper aansprakelijk voor alle (buiten)gerechtelijke kosten die KWPN maakt, met een minimumbedrag van € 1.000,- exclusief eventueel verschuldigde BTW. 1.9. Uitsluiting en beperking aansprakelijkheid KWPN 1.9.1. KWPN is niet aansprakelijk voor schade veroorzaakt door verstrekking van onjuiste en/ of onvolledige informatie, ongeacht aard en omvang van die schade en van die informatie en ongeacht de herkomst van die informatie. Indien de onjuiste en/of onvolledige informatie afkomstig is van Verkoper, dient Verkoper KWPN te vrijwaren voor alle aanspraken van (een) derde(n) dienaangaande. 1.9.2. KWPN is niet aansprakelijk voor schade ontstaan voorafgaand aan, tijdens en/of na afloop van de Veiling veroorzaakt door of aan personen en/of door of aan zaken en/of door of aan Paarden. 1.9.3. KWPN is niet aansprakelijk voor schade, direct noch indirect en ongeacht aard en omvang, als gevolg van een tekortkoming in de nakoming van een verbintenis door een derde(n), waaronder mede begrepen, maar niet 95

Algemene Voorwaarden voor Veilingen KWPN beperkt tot, tekortkoming in de correcte nakoming van verbintenissen van Koper en/of Verkoper en/of als gevolg van enig handelen en/of nalaten van Deelnemer. 1.9.4. Deelnemer is aansprakelijk voor alle schade door hemzelf veroorzaakt en vrijwaart KWPN tegen iedere aanspraak van (een) derde(n), waaronder mede begrepen, maar niet beperkt tot, andere Deelnemers, ter zake van die schade, ongeacht aard en omvang. 1.9.5. KWPN kan niet garanderen dat Verkoper de eigendom van een geveild Paard vrij en onbezwaard aan Koper over kan dragen en KWPN is niet aansprakelijk voor eventuele daarmee verbandhoudende schade. 1.9.6. Uitsluitingen van aansprakelijkheid van KWPN gelden niet in geval van aan KWPN toe te rekenen opzet of grove schuld van KWPN. 1.9.7. Iedere aansprakelijkheid van KWPN is te allen tijde beperkt tot een bedrag van maximaal € 10.000,--. Aanspraken tot schadevergoeding verjaren een jaar na de dag waarop Deelnemer of een derde bekend is geworden met de schade en de aansprakelijkheid van KWPN daarvoor. 1.9.8. KWPN sluit geen verzekering af ten behoeve van de Verkoper en/of Koper van het betreffende Paard. Aangezien Koper en Verkoper geheel voor eigen rekening en risico aan de Veiling deelnemen adviseert KWPN hen bedoelde verzekering zelf af te sluiten. 1.10. Privacy Verklaring KWPN zal de Persoonsgegevens gebruiken overeenkomstig het bepaalde in de Privacy Verklaring op haar Veilingwebsite. Deelnemer dient steeds bij een bezoek aan de Veilingwebsite de laatste wijzigingen van de Privacy Verklaring te raadplegen. Deelnemer stemt ermee in dat zijn Persoonsgegevens bij registratie c.q. aanmelding worden gebruikt voor opname in het prospectus. Deelnemer verstrekt KWPN een onvoorwaardelijke toestemming om deze Persoonsgegevens onder meer te gebruiken ten behoeve van het prospectus. 1.11. Geschillen en toepasselijk recht 1.11.1.De rechtsverhouding tussen KWPN en Deelnemer alsmede de rechtsverhouding tussen Verkoper en Koper worden uitsluitend beheerst door Nederlands recht, met algehele 96 uitsluiting van het Weens Koopverdrag (CISG). 1.11.2.Indien tijdens de Veiling een geschil ontstaat over de gang van zaken tijdens de Veiling is KWPN bevoegd hierover een bindend oordeel uit te spreken en bevoegd de Veiling bij opbod voort te zetten. Indien KWPN een notaris verzoekt over de gang van zaken tijdens de Veiling een oordeel te vellen, zal de notaris bindend en onherroepelijk voor alle partijen beslissen. 1.11.3.Geschillen, anders dan die aan het oordeel van KWPN of de notaris zijn onderworpen, zullen worden beslecht overeenkomstig het Arbitragereglement van het Nederlands Arbitrage Instituut (NAI) door één arbiter te benoemen volgens de lijstprocedure. De arbitrage vindt plaats in Utrecht. De arbitrageprocedure wordt in de Nederlandse taal gevoerd. Indien Koper een Consument is, is op diens schriftelijk verzoek de rechtbank Midden-Nederland, locatie Utrecht, bevoegd. Indien Verkoper en/ of KWPN een procedure aanhangig wil maken en Koper is Consument, zal Verkoper en/ of KWPN gedurende een maand Koper in de gelegenheid stellen schriftelijk Kopers keuze voor NAI-arbitrage of de Rechtbank Midden-Nederland, locatie Utrecht, kenbaar te maken. In geval van een spoedeisend belang (kort geding) kan Koper en/of KWPN die termijn bekorten tot vijf werkdagen. 1.12. Overige bepalingen 1.12.1.KWPN behoudt zich het recht voor om deze Algemene Voorwaarden eenzijdig aan te passen. In geval van aanpassingen gelden de nieuwe Algemene Voorwaarden met ingang van de eerstvolgende Veiling. 1.12.2.Indien een bepaling in deze Algemene Voorwaarden niet rechtsgeldig is, dan laat dat de rechtsgeldigheid van de overige bepalingen onverlet. In dat geval zal de bepaling worden vervangen door een nieuwe bepaling waarbij zoveel mogelijk de strekking van de nietige/ vernietigde bepaling in acht wordt genomen. 1.12.3.In geval van verschillen tussen vertalingen van deze Algemene Voorwaarden en de Nederlandse tekst van de Algemene Voorwaarden, prevaleert de Nederlandse tekst.

Algemene Voorwaarden voor Veilingen KWPN 2. AANVULLENDE VOORWAARDEN DIE GELDEN VOOR BIEDER EN/OF KOPER 2.1. Bieding 2.1.1. Door deel te nemen aan een Veiling accepteert Bieder dat hij/zij onvoorwaardelijk en zonder voorbehoud instemt met de voorwaarden en procedures die door KWPN op de Veiling van toepassing zijn of worden verklaard. 2.1.2. Bieder is verplicht om door of namens KWPN in het kader van een Veiling gegeven instructies en aanwijzingen op te volgen. 2.1.3. KWPN behoudt zich het recht voor om registratie voor een Veiling en (verdere) deelname van een Bieder aan een Veiling om haar moverende redenen op elk moment te weigeren en/ of eenzijdig te beëindigen. 2.1.4. Om als Bieder deel te kunnen nemen aan een Online Veiling is registratie op de door KWPN voorgeschreven wijze vereist. Bieder dient zich voor deelname aan de Online Veiling digitaal te registreren op het veilingplatform op de Veilingwebsite. Bieder krijgt een strikt persoonlijke gebruikersnaam en wachtwoord waarmee toegang tot het biedsysteem mogelijk is. Bieder is verantwoordelijk voor alle handelingen die op een Online Veiling plaatsvinden en die voortvloeien uit gebruik van Bieders gebruikersnaam en wachtwoord. Biedingen geschieden digitaal. Per Paard is het hoogste bod aangegeven op de Veilingsite. De biedstappen bedragen €250,- per bod, tenzij anders aangegeven. 2.1.5. Indien een Bieder een bod uitbrengt, geldt dit bod als een aanbod aan de Verkoper in de zin van artikel 6:217 Burgerlijk Wetboek. Een Bieder is gebonden aan een bod dat als onherroepelijk en onvoorwaardelijk geldt. Iedere Bieder die een bod uitbrengt, wordt geacht voor zichzelf te bieden/te mijnen en is persoonlijk gebonden jegens KWPN en (na Gunning) jegens de Verkoper voor de uit zijn/ haar bod jegens KWPN en de Verkoper voortvloeiende verplichtingen. Dit geldt ook indien de Bieder die het bod uitbrengt verklaart namens een derde te handelen. 2.1.6. Een Bieder met het één na hoogste bod is verplicht om zijn/haar bod gedurende 14 kalenderdagen na sluiting van de Veiling gestand te doen voor het geval het hoogste bod ongeldig wordt verklaard of niet gestand wordt gedaan. 2.1.7. Bieder biedt voor eigen rekening en risico en is aan zijn bod gehouden totdat een hoger bod is geaccepteerd. 2.1.8. Bieder kan zich bij het uitbrengen van een bod bij een Veiling niet beroepen op bied- of intoetsfouten of vergissingen. 2.1.9. Bieder aanvaardt de bijzondere omstandigheden die zich bij een Online Veiling kunnen voordoen waaronder technische onvolkomenheden waardoor niet tijdig een bod kan worden uitgebracht. 2.2. Betalingsverplichtingen Koper 2.2.1. Koper is door totstandkoming van de Koopovereenkomst een Koopsom verschuldigd. 2.2.2. Koper dient binnen 7 kalenderdagen na datum totstandkoming Koopovereenkomst de Koopsom in Euro’s aan KWPN te betalen door overmaking op het bankrekeningnummer ten name van KWPN, zonder enige korting of verrekening. 2.2.3. Bij niet tijdige betaling van de Koopsom is Koper in verzuim en heeft KWPN het recht het Paard onmiddellijk onderhands te verkopen, waarbij het bod van de oorspronkelijke Koper niet meer geldt. Koper heeft nimmer recht op een meeropbrengst bij onderhandse verkoop en blijft gehouden de minderopbrengst aan KWPN te vergoeden. KWPN heeft dan voorts de bevoegdheid zonder ingebrekestelling namens Verkoper en zonder Verkopers toestemming de Koopovereenkomst als ontbonden te beschouwen zonder dat Koper een recht op (schade)vergoeding(en) toekomt. Daarnaast is Koper aan KWPN administratiekosten verschuldigd ter hoogte van 6% van de Afslagbedrag en is Bieder/Koper alle (buiten) gerechtelijke kosten gemoeid met incasso van KWPN vordering op Koper, met een minimum van € 1.000,- exclusief eventueel verschuldigde BTW aan KWPN verschuldigd. Koper komt geen recht op verrekening toe. 2.2.4. Als Verkoper of Koper de Koopovereenkomst ontbindt of op andere wijze aantast, blijft de Koper jegens KWPN het Opgeld verschuldigd onverminderd enig ander recht van KWPN in dat geval. Het voorgaande is niet van toepassing in geval er door Consument Koper bij een Online Veiling gebruik wordt gemaakt van zijn herroepingsrecht zoals bepaald in artikel 1.6 van deze Algemene Voorwaarden. 97

Algemene Voorwaarden voor Veilingen KWPN 3. AANVULLENDE VOORWAARDEN DIE GELDEN VOOR VERKOPER 3.1. Algemeen 3.1.1. De rechtsverhouding tussen KWPN en Verkoper is een overeenkomst van opdracht. Verkoper biedt een Paard ter Veiling aan door middel van een Inschrijving. 3.1.2. Verkoper verbindt zich om de juistheid van de informatie in de (digitale) catalogus, zoals bepaald in artikel 1.7 “Informatie” van deze Algemene Voorwaarden, ter zake van het door Verkoper ingeschreven Paard op juistheid te controleren en KWPN uiterlijk 7 kalenderdagen vóór de Veiling schriftelijk van onjuistheden in kennis te stellen en daarbij zo gedetailleerd als mogelijk aan te geven welke wijzigingen of aanvullingen dienen te worden aangebracht. 3.1.3. De voorwaarden die KWPN in het kader van de Veiling stelt aan een Paard, Inschrijving en Verkoper zijn louter gesteld in het belang van een goede Veiling. 3.2 Garanties en vrijwaringen 3.2.1. Verkoper garandeert de volledige eigendom van het Paard vrij en onbezwaard aan Koper over te kunnen dragen. Verkoper is gehouden KWPN te vrijwaren voor aanspraken van Koper en/of (een) derde(n) verbandhoudende met het niet nakomen van deze garantie door Verkoper. 3.2.2. Verkoper garandeert dat het Paard vrij is van ongeoorloofde middelen. Zoals bedoeld op de meest recente lijst van de Federation Equestre Internationale (FEI) en te raadplegen op de website van de FEI (www.FEI.org)/), tijdens de selectieprocedure en de veiling. KWPN is gerechtigd tijdens het selectieproces en voorafgaand aan de Veiling bloed of urinemonsters af te nemen voor onderzoek naar ongeoorloofde middelen. 3.2.3. Verkoper garandeert de juistheid en de volledigheid van de (uitslagen van) onderzoeken. Verkoper vrijwaart KWPN voor iedere aanspraak, ongeacht omvang en aard en ongeacht van wie, voor tijdens of na de Veiling ten aanzien van een verkocht Paard gebleken non-conformiteit. 3.2.4. Verkoper is gehouden KWPN te vrijwaren voor aanspraken van Koper en/of (een) derde(n) 98 3.3. verbandhoudende met het niet nakomen van deze garanties door Verkoper of enig andere aanspraak door derden. Inschrijving en selectie 3.3.1. De Inschrijving vindt plaats door het invullen, ondertekenen en opsturen van het Inschrijfformulier KWPN door Verkoper. 3.3.2. Door de Inschrijving verleent Verkoper opdracht aan KWPN om een Paard ter Veiling te veilen en tegen het hoogste bod na Gunning door KWPN namens hem te verkopen, mits het Paard door KWPN wordt geselecteerd en tot de Veiling wordt toegelaten. 3.3. 3. Uitsluitend door KWPN geselecteerde Paarden kunnen aan de Veiling deelnemen. 3.3.4. KWPN bepaalt de criteria waaraan voor de Veiling te selecteren Paarden dienen te voldoen. 3.3.5. In de aanvullende voorwaarden van de betreffende Veiling staat vermeld hoe de selectie bij die betreffende Veiling plaatsvindt. 3.3.6. KWPN of een door KWPN samengestelde selectiecommissie of aangewezen jury heeft te allen tijde de bevoegdheid een Paard zonder opgave van redenen te weigeren, ook indien het Paard reeds eerder voor de Veiling was geselecteerd. KWPN is nimmer gehouden om, op welke grond dan ook, door Verkoper gemaakte kosten verbandhoudende met de Inschrijving en/of selectie, te vergoeden. 3.3.7. Indien een ingeschreven Paard niet wordt geselecteerd voor deelname aan de Veiling is Verkoper onder meer gehouden het Paard onmiddellijk terug te nemen. Alle kosten daarmee verbandhoudende zijn voor rekening van Verkoper. Verkoper blijft alsdan gehouden aan al zijn betalingsverplichtingen jegens KWPN. 3.3.8. Indien blijkt dat aan het Paard ongeoorloofde middelen zijn toegediend is Verkoper onder meer verplicht het Paard onmiddellijk terug te nemen. Alle kosten in verband daarmee komen voor rekening van Verkoper. Verkoper blijft jegens KWPN gehouden om aan al de in deze Algemene Voorwaarden genoemde betalingsverplichtingen te voldoen, voor zover die een vergoeding ten behoeve van KWPN betreffen. 3.3.9. Verkoper blijft vanaf Inschrijving verantwoordelijk voor verzorging en toezicht van het Paard.

Algemene Voorwaarden voor Veilingen KWPN 3.3.10. KWPN is nimmer gehouden om, op welke grond dan ook, door Verkoper gemaakte kosten verbandhoudende met de Inschrijving en/ of selectie, te vergoeden. 3.4 Kosten en Betalingsverplichtingen Verkoper 3.4.1. Door en op het moment van Inschrijving is Verkoper inschrijfgeld verschuldigd aan KWPN. De hoogte van het door Verkoper aan KWPN verschuldigde inschrijfgeld per Paard, te vermeerderen met een percentage over het Afslagbedrag wordt voor iedere Veiling bij Inschrijving bekend gemaakt middels een tarievenlijst bij Inschrijving. Het inschrijfgeld wordt bij verkoop verrekend met de opbrengst van de Veiling. Bij Terugkoop ontvangt Verkoper hiervoor een factuur. 3.4.2. Dit inschrijfgeld dient Verkoper aan KWPN te betalen zonder dat Verkoper recht heeft op enige korting, verrekening of inhouding binnen 14 kalenderdagen: i) na de dag waarop de Koopovereenkomst tot stand is gekomen (bij Verkoop); of ii) na de dag dat Verkoper gehouden is het Paard terug te kopen bij gebrek aan een bod (bij Terugkoop). 3.4.3. Binnen 7 kalenderdagen nadat KWPN het Aflevercontract van Koper en/of Verkoper heeft ontvangen, zal KWPN overgaan tot betaling aan Verkoper van het door KWPN aan Verkoper verschuldigde, bestaande uit het Afslagbedrag verminderd met hetgeen Verkoper uit hoofde van deze Algemene Voorwaarden of anderszins aan KWPN verschuldigd is. 3.4.4. Mocht KWPN het Aflevercontract hebben ontvangen, maar Koper en/of Verkoper hebben nog niet voldaan aan alle (betaling-) verplichtingen jegens KWPN, dan zal KWPN overgaan tot betaling van het door KWPN aan Verkoper verschuldigde uiterlijk binnen 30 kalenderdagen nadat aan de laatste betalingsverplichting werd voldaan. Verkoper komt geen recht op verrekening toe. 3.5. Terugkoop 3.5.1. Het ter Veiling aangeboden Paard wordt altijd verkocht, tenzij er geen bod wordt gedaan. Indien geen bod is gedaan is Verkoper gehouden het Paard terug te kopen tegen het openingsbod. Dit openingsbod wordt in dat geval als Afslagbedrag beschouwd. 3.5.2. Verkoper die een door hem ter Veiling aangeboden Paard terugkoopt, wordt mede beschouwd als Koper, met uitzondering van artikel 1.6 van deze Algemene Voorwaarden. 3.5.3. Bij Terugkoop is geen Opgeld verschuldigd. 3.6. Niet deelnemen aan Veiling door ingeschreven Paard 3.6.1. Indien een Ingeschreven Paard niet aan de Veiling deelneemt, is Verkoper onmiddellijk, zonder dat een ingebrekestelling is vereist, een boete verschuldigd van € 1.000,--. In geval van Select Sale bedraagt deze boete €5.000,-. 3.6.2. Mocht een Ingeschreven Paard naar oordeel van Verkoper wegens gezondheidsredenen niet aan de Veiling kunnen deelnemen, dan dient dit onverwijld, schriftelijk en met een zo gedetailleerd mogelijke omschrijving van de aandoening aan KWPN te worden medegedeeld, waarna KWPN de aard van de aandoening zal (laten) beoordelen en zal vaststellen of het Paard wel of niet kan deelnemen aan de Veiling. 3.6.3. Indien Verkoper aan KWPN geen c.q. onvoldoende gelegenheid biedt het Paard (tijdig) te (laten) onderzoeken, dan wel indien het Paard door KWPN danwel een door KWPN goedgekeurde veterinair is goedgekeurd voor deelname aan de Veiling en desondanks niet aan de Veiling deelneemt, is Verkoper de in dit hiervoor genoemde boete van € 1.000,-aan KWPN verschuldigd. Indien een al dan niet goedgekeurd Paard niet aan de Veiling deelneemt, dient Verkoper de door KWPN in dat verband gemaakte (veterinaire) kosten te voldoen, met een minimumbedrag van € 1.000,exclusief eventueel verschuldigde BTW. 3.7. Machtiging Verkoper 3.7.1. In geval van een Fysieke Veiling, kan Verkoper voor alle door Verkoper ter Veiling aangeboden Paarden tezamen ten hoogste twee gemachtigden aanmelden die namens Verkoper aan de Veiling deelnemen, ten einde het aangeboden Paard tijdens de Veiling terug te kopen. Aanmelding van een gemachtigde dient plaats te vinden voor de aanvang van de Veiling bij KWPN met gebruikmaking van het voorgeschreven macht-formulier. Een gemachtigde handelt tijdens de Veiling voor re99

Algemene Voorwaarden voor Veilingen KWPN kening en risico van Verkoper. Een handeling van een gemachtigde geldt als een handeling van Verkoper. 4. AANVULLENDE VOORWAARDEN DIE GELDEN IN GEVAL VAN SELECT SALE 4.1. Veiling Select Sale betreft een Fysieke Veiling. 4.2. Bezichtiging Verkoper stelt Bieder in de gelegenheid om desgewenst ter Veiling aangeboden Paarden voorafgaand aan de Veiling te bezichtigen: (i) tijdens de eerste bezichtiging in Ermelo, (ii) of bij de KWPN Stallion Show, (iii) of in de stallen van KWPN vanaf 10.00 uur op de dag van de Veiling uitsluitend op verzoek. 4.3. Garanties In aanvulling op artikel 3.2 (‘Garanties en vrijwaringen’) garandeert Verkoper in geval van Select Sale eveneens; a. de spermakwaliteit en het bevruchtend vermogen van Paarden, welke zijn aangewezen voor het KWPN verrichtingsonderzoek (‘aangewezen Paard’) gedurende zes maanden na de Veiling. Spermakwaliteit wordt beoordeeld op basis van het gemiddelde van twee ejaculaten met een tussentijd van circa een uur. Het sperma dient minimaal 30% levende zaadcellen te bevatten en 30% normaal gebouwde cellen. Spermakwaliteit en bevruchtend vermogen worden bij verschil van mening hierover tussen Koper en Verkoper bindend beoordeeld door de Faculteit Diergeneeskunde van de Universiteit Utrecht. Onderzoek dient binnen 14 kalenderdagen na verkoop te worden uitgevoerd op kosten van Verkoper. Wanneer het Paard niet wordt aangewezen voor het verrichtingsonderzoek vervalt deze eis. De Koper kan dit onderzoek vrijwillig uit laten voeren op kosten van Koper; b. een normaal en goed functionerend ademhalingsapparaat van het Paard en dat het Paard vrij is van cornage en een normaal geluid maakt tijdens ademhaling in rust en tijdens arbeid gedurende 1 maand na de Veiling. Het ademhalingsapparaat wordt bindend beoordeeld door de Faculteit Dier100 geneeskunde van de Universiteit Utrecht. c. dat het Paard vrij is van stalondeugden, zijnde kribbebijten, weven of luchtzuigen. Koper dient KWPN binnen 7 dagen na feitelijke levering schriftelijk met een zo gedetailleerd mogelijke omschrijving van de aard van het stalondeugd op de hoogte te stellen. KWPN zal het paard door een door haar aan te wijzen veterinair laten onderzoeken. Indien naar oordeel van die veterinair de door Koper omschreven stalondeugden constateert, dient Verkoper de ter zake gemaakte kosten te voldoen. De Koper dient gemaakte kosten te voldoen wanneer de veterinair het stalondeugd niet constateert. 4.4. Inschrijving & Selectie In geval van Select Sale gelden de navolgende voorwaarden bij Inschrijving en selectie: a. Een door KWPN samengestelde selectiecommissie Paarden die beoordeelt en selecteert de in aanmerking komen voor deelname aan de Veiling. Een besluit van de selectiecommissie ter zake is bindend. b. Selectie van de Paarden vindt plaats tijdens de eerste bezichtiging van de KWPN hengstenkeuring in Ermelo, waarvan de datum en tijdstippen door KWPN worden bepaald en vastgesteld en gecommuniceerd. c. Dressuurpaarden dienen tevens op een nader vast te stellen moment tijdens een extra selectiemoment na de eerste bezichtiging aan de longe getoond te worden. d. De selectiecommissie is bevoegd om tijdens de KWPN Stallionshow nog enkele wildcards te selecteren. Om in aanmerking te komen voor een wildcard dient het betreffende Paard uiterlijk twee weken voor de Veiling door de veterinaire commissie van KSS acceptabel te zijn bevonden op basis van een volledige veterinaire keuring zoals hieronder beschreven in artikel 4.4 sub e, welke ten minste uit een klinisch en röntgenologisch onderzoek bestaat en welke keuringen beide niet ouder mogen zijn dan negentig dagen voor de veilingdatum. Voor Paarden die met een wildcard tot de Veiling worden toegelaten heeft KWPN bij wijze van uitzondering de mogelijkheid om in afwijking van de in artikel 3.4.1 genoemde inschrijfgelden andere bedragen en percentages

Algemene Voorwaarden voor Veilingen KWPN schriftelijk af te spreken met Verkoper. e. Tot de Veiling worden toegelaten Paarden die: a. hebben deelgenomen aan de eerste bezichtiging in Ermelo b. vrij zijn van waarneembare gebreken, zoals, maar niet uitsluitend, stalgebreken, c. door de KWPN Hengstenkeuringscommissie zijn aangewezen voor de tweede bezichtiging; d. door een erkend keuringsdierenarts en de veterinaire KSS commissie voorafgaand aan de Veiling acceptabel zijn bevonden op basis van een röntgenologische sportkeuring (waarbij de Dressuurpaarden tevens op hals en rug worden beoordeeld) en veterinair klinische keuring, van welke keuringen Verkoper aan KWPN de röntgenbeelden en een veterinaire rapport (en nevenbevindingen) heeft overlegd. De röntgenbeelden moeten binnen 90 dagen voorafgaand aan de Veiling zijn gemaakt en voldoen kwalitatief aan de criteria zoals beschreven in het boek ‘’De veterinaire keuring van het paard’’ uitgave april 2007, uitgeverij Libre BV. De röntgenologische beoordeling van de rug en hals vindt plaats volgens het systeem van Dyson, Zimmerman en Murray zoals gepubliceerd in Veterinairy Radiology & Ultrasound 2011 en British Equine Veterinary Journal in 2012. De veterinair klinische keuring moet uiterlijk 90 dagen voorafgaand aan de Veiling hebben plaatsgevonden en hiervan wordt een (Engels) onderzoeksrapport naar het ontwerp van de Groep Paard van de KNMvD opgemaakt. De röntgenologische sportkeuring en veterinair klinische keuring wordt uitgevoerd in opdracht en voor rekening en risico van Verkoper. e. op de dag van de Veiling door de veterinaire commissie van KSS bij een laatste veterinair klinische inspectie acceptabel te zijn bevonden. f. gegenotypeerd (DNA analyse) zijn overeenkomstig voorschrift van het KWPN en waarvan een genoomfokwaarde voor osteochondrose bekend is, tenzij het Paard onvoldoende verwant is aan de referentiepopulatie van het KWPN. g. getest en acceptabel bevonden zijn op een normaal functionerend ademhalingsapparaat en vrij van cornage en produceert een normaal geluid tijdens ademhaling in rust en tijdens arbeid. Het ademhalingsapparaat wordt bindend beoordeeld door de KWPN beoordelingscommissie Cornage. h. getest zijn op het Warmblood Fragile Foal Syndrome (WFFS). f. Om voor KWPN goedgekeurde hengst in aanmerking te komen dienen Paarden die door de KWPN hengstenkeuringscommissie zijn aangewezen voor het KWPN verrichtingsonderzoek (‘aangewezen hengst’) na de Veiling met goed gevolg het KWPN verrichtingsonderzoek te doorlopen. De hierop van toepassing zijnde reglementen, inclusief de normering inzake de genoomfokwaarde voor osteochondrose (GFWOC) zijn beschikbaar op de website van het KWPN of worden op verzoek schriftelijk verstrekt; 4.5. Levering In geval van Select Sale vindt de levering van het gekochte Paard plaats door afname van het Paard bij Verkoper of het door Verkoper aangegeven (stal)adres, tenzij anders is overeengekomen tussen Verkoper en Koper. 4.6. Risico overgang In geval van Select Sale gaat het risico van het Paard op de volgende wijze over: - Indien Koper een Consument betreft, is vanaf het moment van levering het Paard voor risico van de Koper en zijn vanaf dat moment alle verantwoordelijkheden en aansprakelijkheden, alsmede alle risicofactoren overgedragen aan de betreffende Consument Koper. De Consument Koper zal KWPN vrijwaren voor alle aanspraken van derden ter zake. - Indien Koper geen Consument betreft, is vanaf het moment van Gunning het Paard voor risico van de Koper en zijn vanaf Gunning alle verantwoordelijkheden en aansprakelijkheden, alsmede alle risicofactoren overgedragen aan de betreffende Koper. De Koper zal KWPN vrijwaren voor alle aanspraken van derden ter zake. 101

Terms And Conditions for KWPN Auctions 1. 1.1 GENERAL Definitions In these terms and conditions, the concepts below are defined as follows: • Delivery Contract: the delivery contract completed and signed by the Buyer and the Seller which shows that the Buyer has obtained the Horse; • • Auction Price: the price offered by the Bidder for a Horse at an Auction; Terms and Conditions: the terms and conditions for the KWPN auctions, both the Online Auctions as well as the Physical Auctions; • • Bidder: the person who registers or has registered as prescribed by the KWPN to participate in an Online Auction as well as the person who bids on a Horse(s) during a Physical Auction; • Consumer: the natural person who does not act for purposes relating to the exercise of a trade, business, craft or profession; • • Participant: a participant in the Auction in the capacity of Bidder, Buyer or Seller; • Award: the express statement of the KWPN (on behalf of the Seller) to the Buyer that a bid from the Buyer has been accepted as the highest bid and that the Horse on which the Buyer has bid has been awarded to the Buyer. This statement is considered an acceptance on behalf of the Seller according to Article 6: 217 of the Dutch Civil Code. This statement includes the Purchase Agreement Statement; • Registration: the registration of the Seller with the KWPN in order to offer a Horse for Auction through the KWPN on behalf of the Seller; • Purchase Agreement: the purchase agreement which is created between the Seller and the Buyer as a result of the Award; • Purchase Price: the amount owed by the Buyer for the Horse offered for Auction, consisting of the Auction Price plus the Premium, in addition to the applicable VAT rate; • 102 Buyer: the Bidder who is the recipient of the Award; • • • KWPN: both (i) the Royal Warmblood Studbook of the Netherlands, in the case that this association facilitates the Auction and the Auction Service; as well as (ii) the KWPN Select Sale foundation (KSS) in the case that this foundation facilitates the Auction and the Auction Service; Horse: a foal, mare or stallion; Personal Data: the personal data which a Participant must provide the KWPN upon registering as a Participant in order to take part as a Participant in an Online Auction and that which can be traced to his or her person; Premium: an amount by which the Auction Price is increased and that is 10% of the Auction Price • Select Sale: the Physical Auction for jumper- and dressage stallions in ‘s-Hertogenbosch, which is organized and facilitated by the KSS • Buyback: a repurchase in the case that the Buyer is also the Seller of the Horse offered for Auction; Auction: the auctions organized and facilitated by the KWPN for the sale of one or more Horses, including both the physical auctions organized and facilitated by the KWPN on location (Physical Auction) and the online auction organized and facilitated by the KWPN through the Auction Website (Online Auction); • Auction Service: mediation in the creation of a Purchase Agreement through the facilitation of an Auction; • • Auction Website: the auction website with which the KWPN offers its Auction Service; Purchase Agreement Statement: the purchase agreement statement the KWPN (on behalf of the Seller) sends or provides to the Bidder / Buyer and which the Bidder / Buyer completes and signs; • Seller: the natural person or legal entity which has commissioned the KWPN to sell one or more Horses by means of an Auction on behalf of and for the account of the Seller;

Terms And Conditions for KWPN Auctions 1.2 Applicability of the Terms and Conditions 1.2.1 These Terms and Conditions apply to the legal relationships between the KWPN and the Participant. The Participant is deemed to have accepted the applicability of these Terms and Conditions. The applicability of other terms and conditions is excluded. 1.2.2 All provisions in these Auction Terms and Conditions have also been created for the benefit of all persons who work for or have worked for and / or on behalf of the KWPN. These persons may directly invoke the provisions of these Terms and Conditions, as if they were the KWPN. 1.3 Auction 1.3.1 The KWPN will organize and facilitate the Auction and auction one or more Horses on behalf of the Seller, without being party to or becoming party to Purchase Agreements. 1.3.2. The KWPN will determine the dates and times that the Auction is held. 1.3.3. The Online Auction will close on a date and time stated in advance. The duration of the Online Auction will be posted on the Auction website. If a bid is placed in the last five minutes prior to the specified closing time, the closing time will be extended by two minutes per occurrence. The Online Auction will definitively close two minutes after the last bid. 1.3.4. The Physical Auction will take place under the supervision of a notary appointed by the KWPN. 1.3.5. The KWPN will determine the order and sequence of the Auction. The KWPN has the right to deny anyone access to and / or participation in and / or Registration for the Auction without stating reasons or to set further conditions thereto. 1.3.6. Horses offered in the Auction are auctioned / sold outright, without proceedings or recompense, in the condition in which they are found upon Award, without liability of the KWPN relative to the value, condition or quality of the auctioned Horses. 1.3.7. A Purchase Agreement will be created between the Buyer and the Seller as a result of an Award, in which case the KWPN will do the following: provide the Buyer with a written Purchase Agreement Statement for the Physical Auction at the time of the Auction; and for the Online Auction, send the Buyer a written Purchase Agreement Statement which the Buyer shall complete, sign and return to the KWPN within 7 calendar days of the day it was sent. 1.3.8. Horses offered for Auction will be sold through an open ascending price auction with a minimum opening bid announced at the Auction, unless the KWPN determines that the Auction, or a part thereof, will be conducted as an open descending price auction. The KWPN is entitled at any time during the Auction to change the way in which the Auction takes place. Both in the case of an open ascending price auction and in the case of an open descending price auction, the Seller is invited to make a bid. The KWPN is entitled to not recognize a bid, if in its opinion, there are reasonable grounds for doing so. 1.3.9. The Seller shall provide the Bidder the opportunity to view any horses offered for Auction prior to the Auction (i) at the first round viewing in Ermelo, (ii) or at the KWPN Stallion Show, (iii) or by appointment with the Seller in the case of an Online Auction, or (iv) in the KWPN stables, starting at 10:00 hours on the day of the Auction in the case of a Physical Auction and only by request. 1.4 Obtainment/Delivery 1.4.1. The delivery of the purchased Horse takes place by obtaining the Horse from the Seller or the stable address provided by the Seller, unless otherwise agreed upon between the Seller and the Buyer. 1.4.2. The Buyer may obtain or have the Horse delivered only after paying the KWPN the Purchase Amount in full and any remaining monies owed. As long the KWPN has not received full payment from the Buyer or payment for any other Purchase Agreements, the Seller remains the owner of the Horse. 1.4.3. The Seller may deliver the purchased Horse to the Buyer only after obtaining written consent from the KWPN. 1.4.4. The Buyer must take possession of the Horse from the Seller within 14 calendar days after full payment to the KWPN. If the Buyer refuses or fails to comply with the aforementioned, the Buyer will be in default to the Seller and required to meet obligations including 103

Terms And Conditions for KWPN Auctions compensating the Seller for damages without prejudice to any other rights and pay all associated additional costs, including stabling costs, in which case the Seller will only release the Horse if and when the aforementioned costs have been paid in full. 1.4.5. The Seller must provide the horse’s passport and registration papers to the Buyer upon the obtainment / delivery of the Horse. 1.4.6. The Buyer must observe the required caution and comply with instructions given by or on behalf of the Seller unconditionally and in full in the obtainment / delivery of the purchased Horse. The Buyer is liable for damages caused by or in connection with the obtainment / delivery of the purchased Horse and shall indemnify the KWPN and Seller against claims from third parties in this regard. 1.4.7. When the Buyer has received the purchased Horse from the Seller (the delivery), the Buyer shall assume the risk of the Horse. 1.4.8. Within 7 calendar days of obtainment / delivery of the Horse, the Seller and Buyer shall provide the KWPN written notice of such by submitting a Delivery Contract. 1.4.9. The KWPN holds the right of retention on the Horse until it has been both obtained / delivered and the KWPN has received full payment from the Buyer. 1.5 Transfer of Ownership Ownership of the purchased Horse is transferred to the Buyer (if all conditions are met for a legally valid transfer) at the time of obtainment / delivery as referred to in Article 1.4 of these Terms and Conditions but not before the Buyer has paid the full Purchase Price and any other monies owed to the KWPN, which acts on behalf of the Seller, including those relating to work performed or to be performed on behalf of the Buyer and / or due to failures in the fulfillment of the Purchase Agreement. 1.6 Consumer Buyer’s Right of Withdrawal at an Online Auction 1.6.1. If the Buyer is a Consumer, the Buyer may dissolve a Purchase Agreement with regard to the purchase of a Horse through an Online Auction during a cooling-off period of a maximum of 14 calendar days, without stating reasons, based on the legal right of withdrawal 104 of Article 6: 230o and the Civil Code. Article 1.6 only applies to the purchase of a Horse by a Consumer through an Online Auction. The Seller may ask the Buyer for the reason for withdrawal, but the Buyer is not required to provide a reason(s). The cooling-off period referred to in this article commences on the day after the Buyer, or a third party designated by the Buyer in advance, who is not the transporter of the horse, has received the purchased Horse. 1.6.2. If the Buyer utilizes the statutory right of withdrawal, the Buyer shall report this to the Seller and the KWPN unambiguously in writing within the cooling-off period. As soon as possible but within 14 calendar days from the day following the notification referred to in this article, the Buyer shall return the Horse or hand over the Horse to the Seller. This is not necessary if the Seller has offered to collect the Horse. The Buyer in any case will have observed the return period if he / she returns the Horse before the cooling-off period has expired. 1.6.3. The Buyer shall return the Horse with all accessories and in accordance with reasonable and clear instructions provided by the Seller. 1.6.4. The Buyer shall assume the risk and the burden of proof for the correct and timely exercise of the right of withdrawal. 1.6.5. The Buyer shall pay the costs related to the return. 1.6.6. During the cooling-off period and return of the Horse, the Buyer shall treat the Horse with care and, if provided, according to the instructions of the Seller. 1.6.7. If the Buyer utilizes the statutory right of withdrawal, all supplementary agreements will be dissolved by operation of law. 1.6.8. The Seller shall refund the Purchase Price (including any delivery costs) to the Buyer without delay but within 14 calendar days following the day on which the Buyer reports the withdrawal. Unless the Seller offers to collect the Horse, the Seller may postpone the refund until he or she has received the Horse. 1.6.9. The Seller shall use the same payment method for the refund that the Buyer used to purchase the Horse, unless the Buyer agrees to another method. The refund is free of charge for the Buyer.

If the Buyer opted for a more expensive method of delivery than the least expensive standard method of delivery, the Seller is not required to refund the additional costs for the more expensive method. 1.6.11. This article 1.6 only applies to the purchase of a horse by a consumer buyer in an Online Auction. 1.7 Information 1.7.1. The KWPN has taken great care in compiling the (digital) catalog. The information contained in the (digital) catalog is intended to give an impression of the quality of the Horses offered for Auction, without professing to be complete and without conferring any rights. 1.7.2. Horses offered for Auction are required to undergo a veterinary inspection as sporthorses. The resulting veterinary reports may be requested from the KWPN. The content of these reports is binding for KWPN and for the Participant. 1.8 Sales Tax 1.8.1 The KWPN is an entrepreneur for VAT purposes. Changes to the applicable VAT rate may lead to a corresponding adjustment of the applicable VAT percentages. 1.8.2. The VAT schedule under which each Horse is auctioned will be announced prior to the Auction. 1.8.3. In the event that the Buyer requests the transfer of an auctioned Horse(s) to another European Union member country, a zero VAT rate invoice will be issued which will require the Bidder / Buyer to fulfill all necessary conditions to complete a legal intra-community transaction. 1.8.4. If the zero VAT rate is subsequently not applicable for whatever reason, the Buyer will at that time owe an amount equal to the amount for a domestic transfer of the Horse in question. Upon request of the KWPN, the Buyer shall pay the KWPN the aforementioned amount immediately. In that case, the respective refund will only be issued if the Buyer has met the conditions in accordance with Article 1.8.3 to the satisfaction of the KWPN. In any case, the Buyer is liable for and shall indemnify the KWPN against all damages resulting from non-compliance with the conditions of 1.9 Article 1.8.3. In addition, the Buyer is liable for all extra judicial costs incurred by the KWPN, with a minimum due of € 1,000, excluding any VAT. KWPN Exclusions and Liability Limitations 1.9.1. The KWPN is not liable for damages as a result of incorrect and / or incomplete information, regardless of the nature and extent of the damages and the information and regardless of the source of the information. If the Seller is the source of the incorrect and / or incomplete information, the Seller shall indemnify the KWPN against all claims of a third party or third parties in this regard. 1.9.2. The KWPN is not liable for damages prior to, during and / or after the Auction caused by or to any person and / or to goods and / or by or to Horses. 1.9.3. The KWPN is not liable for damages, direct or indirect and regardless of their nature and scope, as the result of a failure to fulfill an obligation by a third party or third parties, including but not limited to the Buyer and / or Seller’s failure to fulfill obligations and / or as a result of any actions and / or omissions of the Participant. 1.9.4. The Participant is liable for all damages caused by him / her and shall indemnify the KWPN against claims by a third party or third parties, including but not limited to other Participants associated with the damages, regardless of nature and scope. 1.9.5. The KWPN does not guarantee that the Seller can transfer ownership of the auctioned Horse free and unencumbered to the Buyer, and the KWPN is not liable for any related damages. 1.9.6. KWPN exclusions of liability do not apply to the KWPN in case of willful misconduct attributable to the KWPN or gross negligence by the KWPN. 1.9.7. Any liability of the KWPN is at all times limited to a maximum of € 10,000. Claims for compensation expire one year after the day on which the Participant or a third party became aware of the damage for which the KWPN is liable. 1.9.8. The KWPN does not purchase insurance for the benefit of the Seller and / or Buyer for the respective Horse. Because the Buyer 105

Terms And Conditions for KWPN Auctions and Seller participate in the Auction entirely at their own expense and risk, the KWPN recommends that they purchase their own insurance. 1.10 Privacy Statement The KWPN uses Personal Data in accordance with the provisions of the Privacy Statement on its Auction Website. The Participant should view the latest changes to the Privacy Statement when visiting the Auction Website. Upon registration or application, the Participant consents to the inclusion of his / her Personal Data in the prospectus. The Participant gives the KWPN unconditional permission to use these Personal Data for the benefit of the prospectus. 1.11 Disputes and Applicable Law 1.11.1. The legal relationship between the KWPN and the Participant as well as the legal relationship between the Seller and Buyer are ruled exclusively by Dutch law, with full exclusion of the Vienna Sales Treaty (CISG). 1.11.2. If a dispute arises during the Auction about the course of business at the Auction, the KWPN is authorized to issue a binding judgment on the dispute and continue the Auction by bidding. If the KWPN requests a public notary to issue a judgment on the course of business during the Auction, the notary will make a binding and irrevocable judgment for all parties. 1.11.3. Disputes, other than those subject to the judgment of the KWPN or the notary, will be settled in accordance with the Arbitration Rules of the Netherlands Arbitration Institute (NAI) by appointing one arbitrator in accordance with the list procedure. The arbitration will take place in Utrecht. Arbitration proceedings are conducted in the Dutch language. If the Buyer is a Consumer, upon his / her written request, proceedings may be conducted in the District Court of the Central Netherlands, Utrecht location. If the Seller and / or the KWPN wishes to initiate proceedings and the Buyer is a Consumer, the Seller and / or the KWPN shall give the Buyer one month to submit a written decision for NAI arbitration or the District Court of the Central Netherlands, Utrecht location. In case of urgent interest 106 (summary proceedings), the Buyer and / or the KWPN may shorten this period to 5 workdays. 1.12 Other Provisions 1.12.1. The KWPN reserves the right to unilaterally amend these Terms and Conditions. In the event of such amendments, the new Terms and Conditions will take effect beginning the next Auction. 1.12.2. If any provision in these Terms and Conditions is invalid, the validity of the remaining provisions will not be affected. In that case, the invalid provision will be replaced by a new provision whereby the purport of the void / annulled provision will be taken into account insofar as possible. 1.12.3. In the event of differences between the translation of these Terms and Conditions and the Dutch text of the Terms and Conditions, the Dutch text will prevail. 2. 2.1 ADDITIONAL CONDITIONS FOR BIDDERS AND / OR BUYERS Bidding 2.1.1. To participate in an Online Auction as a Bidder, one must register in the manner prescribed by the KWPN and unconditionally agree to the conditions and procedures applicable to or stated by the KWPN. 2.1.2. The Bidder must follow the instructions and directions given in the scope of an Auction by or on behalf of the KWPN. 2.1.3. The KWPN reserves the right at any time to refuse and / or unilaterally terminate registration for an Auction and further participation of a Bidder at an Auction for any reason whatsoever. 2.1.4. To participate in the Online Auction, the Bidder must register digitally on the auction platform of the Auction Website. The Bidder will receive a strictly personal username and password to access the bidding system. The Bidder is responsible for all his / her activities at an Online Auction and those which result from the use of Bidder’s username and password. Bids are placed digitally. For each Horse, the highest bid placed is displayed on the Auction site. Bid increments are € 250 per bid, unless otherwise indicated.

Terms And Conditions for KWPN Auctions 2.1.5. If a Bidder places a bid, the bid will count as an offer to the Seller in accordance with Article 6: 217 of the Dutch Civil Code. A Bidder is bound to a bid, which is considered irrevocable and unconditional. Every Bidder who places a bid is deemed to have bid for himself / herself and is personally bound to the KWPN and (after Award) to the Seller for the obligations arising from his / her bid to the KWPN and the Seller. The aforementioned also applies if the Bidder who is placing the bid declares to be acting on behalf of a third party. 2.1.6. A Bidder with the second highest bid must honor his / her bid for 14 calendar days after the close of the Auction, in case the highest bid is declared invalid or is not honored. 2.1.7. The Bidder shall bid at his / her own expense and risk, and is bound to his / her bid until a higher bid is accepted. 2.1.8. A Bidder shall accept the special circumstances which may arise in an Online Auction, including technical issues which may prevent the timely placement of a bid. 2.1.9. When placing a bid in an Online Auction, the Bidder may not appeal bidding- or data entry errors or mistakes. 2.2 Payment Obligations of the Buyer 2.2.1. The Buyer will owe a Purchase Price through the conclusion of the Purchase Agreement. 2.2.2. After a Purchase Agreement is concluded, the Buyer shall pay the Purchase Price in Euros to the KWPN within 7 calendar days by bank transfer to the KWPN’s account number, without any discount or settlement. 2.2.3. If the Purchase Price is not paid on time, the Buyer will be in default and the KWPN has the right to immediately sell the Horse privately, whereby the offer of the original Buyer is no longer valid. The Buyer is never entitled to excess proceeds from a private sale and remains obligated to pay the marginal loss to the KWPN. The KWPN also has the authority, without notice of default on behalf of the Seller and without the Seller’s permission, to consider the Purchase Agreement dissolved without the Buyer being entitled to compensation for damages. In addition, the Buyer shall owe the KWPN administration costs equal to 6% of the Auction Price, and the Bidder / Buyer shall pay all extra judicial costs associated with collection of the KWPN’s claim against the Buyer, with a minimum due of € 1,000, excluding any VAT owed to the KWPN. The Buyer is not entitled to a settlement. 2.2.4. If the Seller or Buyer terminates the Purchase Agreement or otherwise violates it, the Buyer shall still owe the KWPN the Premium without prejudice to any other right of the KWPN in that case. The foregoing does not apply in the event that the Consumer Buyer avails of his / her right of withdrawal as stipulated in Article 1.6 of these Terms and Conditions. 3. 3.1 ADDITIONAL TERMS AND CONDITIONS FOR SELLERS General 3.1.1. The legal relationship between the KWPN and Seller is a contract agreement. The Seller shall provide a Horse for Auction by means of Registration. 3.1.2. The Seller is responsible for checking the accuracy of the information in the digital catalog with respect to the Horse that he / she has registered, as stipulated in Article 1.7 (Information) in these Terms and Conditions. The Seller shall notify the KWPN in writing, at least 7 calendar days before the Auction, of any inaccuracies in the catalog and explain in detail the changes or additions to be made. 3.1.3. The Terms and Conditions which the KWPN places on Horses, Registration and Sellers in the scope of the Auction are implemented solely in the interest of facilitating a good auction 3.2 Guarantees and Indemnities 3.2.1. The Seller shall guarantee that full ownership of the Horse can be transferred to the Buyer free and unencumbered. The Seller shall indemnify the KWPN against claims by the Buyer and / or a third party or third parties related to the breach of this guarantee by the Seller. 3.2.2. The Seller shall guarantee that the Horse is free of banned substances, as per the most recent list of the Federation Equestre Internationale (FEI) and posted on the website of the FEI (www.FEI.org)/), during the selection process and the Auction. The KWPN has the 107

Terms And Conditions for KWPN Auctions right to collect blood or urine samples for testing for banned substances during the selection process and prior to the Auction. 3.2.3. The Seller shall guarantee the accuracy and completeness of the test results as described above in Article 3.2.2. The Seller shall indemnify the KWPN against any claim during or after the Auction, irrespective of the scope and nature of the claim and the claimant, regarding a Horse purchased which was not in compliance with Article 3.2.2. 3.2.4. The Seller shall indemnify the KWPN against claims by the Buyer and / or a third party or third parties related to the breach of these guarantees by the Seller. 3.3 Registration and Selection 3.3.1. The Seller shall register for an Auction by completing, signing and sending the completed Registration Form to the KWPN. 3.3.2. By Registering for the Auction, the Seller commissions the KWPN to bring a Horse to auction and sell it on his / her behalf for the highest bid and to confer an Award, provided that the Horse is selected by the KWPN and admitted to the Auction. 3.3.3. Only Horses selected by the KWPN may participate in the Auction. 3.3.4. The KWPN determines the criteria which Horses selected for the Auction must meet. 3.3.5. The KWPN has the right at all times to refuse a Horse without stating reasons, even if the Horse had previously been selected for the Auction. The KWPN is never required to compensate the Seller for any costs incurred, on any grounds whatsoever, in connection with Registration and / or selection. 3.3.6. The KWPN selection is held in Ermelo at the first round viewing on a day and time to be determined and communicated by the KWPN. 3.3.7. Horses admitted to the Auction must meet the following criteria: a. they must have participated in the first round viewing in Ermelo; b. be free of observable faults, including but not limited to stable vices; and c. have been deemed acceptable by a recognized inspection veterinarian during a sport inspection, from which the Seller shall submit a veterinary report to the KWPN. 3.3.8. Within 90 calendar days prior to the Auction, 108 the Seller shall submit to the KWPN the aforementioned veterinary report containing the results of the veterinary inspection (including, but not limited to, clinical and radiological findings) which the Horse presented for Auction has undergone as a sporthorse. This inspection must be performed by a recognized inspection veterinarian at the direction, expense and risk of the Seller. 3.3.9. If a registered Horse is not selected for the Auction, the Seller is obligated, among other things, to immediately take back the Horse. The Seller must pay all associated costs in such case. The Seller then remains liable for all payment obligations to the KWPN. 3.3.10. If banned substances have been administered to the Horse, the Seller, among other things, shall immediately take back the Horse. The Seller shall pay all associated costs in such case. The Seller shall remain liable to the KWPN to meet all the payment obligations stated in these Terms and Conditions, insofar as they concern compensation to the KWPN. 3.3.11. Seller remains responsible for care and supervision of the Horse from Registration. 3.4. Fees and Payment Obligations of the Seller 3.4.1. Upon Registration, the Seller shall owe the KWPN a registration fee. The amount of the registration fee payable by the Seller to the KWPN per Horse, to be increased by a percentage of the Auction Price, will be announced for each Auction at Registration by means of a price list for that Registration. Upon sale of the Horse, the registration fee shall be settled with the proceeds from the Auction. In the case of a Buyback, the Seller will be invoiced for the registration fee. 3.4.2. The Seller must pay the KWPN this registration fee without any discount, settlement or deduction within 14 calendar days: i) after the day on which the Purchase Agreement was concluded (with Sale); or ii) after the day that the Seller must repurchase the Horse in the absence of a bid (with Buyback). 3.4.3. Within 7 calendar days after receiving the Delivery Contract from the Buyer and / or the Seller, the KWPN will pay the Seller the amount due to him or her, consisting of the Auction Price minus the amount the Seller owes to the KWPN under these Terms and

If the KWPN has received the Delivery Contract but the Buyer and / or Seller has not yet complied with all payment obligations to the KWPN, the KWPN will pay the amount it owes the Seller within 30 calendar days after the last payment obligation has been met. The Seller is not entitled to a settlement. 3.5 Buyback 3.5.1. A Horse put up for Auction will always be sold, unless there is no bid for it. If no bid is placed, the Seller must buy back the Horse for the opening bid. In that case, the opening bid will be considered the Auction Price. 3.5.2. A Seller who buys back a Horse offered by the Auction is also considered a Buyer, with the exception of Article 1.6 of these Terms and Conditions. 3.5.3. No Premium is due at Buyback. 3.6 Non-Participation in the Auction by Registered Horses 3.6.1. If a Registered Horse does not participate in the Auction, the Seller, without demanding notice of default, will immediately be fined a penalty of € 1,000. In the case of the Select Sale, the penalty is € 5,000. 3.6.2. If a Registered Horse, in the Seller’s opinion, cannot participate in the Auction due to health reasons, the Seller must immediately notify the KWPN in writing with a detailed description of the ailment, after which the KWPN will have the nature of the ailment evaluated and determine if the Horse can participate in the Auction. 3.6.3. If the Seller provides the KWPN no opportunity or insufficient opportunity to examine the Horse in a timely manner, or if the Horse has been approved by the KWPN or a KWPN-approved veterinarian for participation in the Auction and nevertheless does not participate in the Auction, the Seller shall owe the KWPN the aforementioned fine of € 1,000. If a Horse, whether or not approved, does not participate in the Auction, the Seller shall pay the associated veterinary costs incurred by the KWPN, with a minimum amount due of € 1,000, excluding any VAT. 4.1 ADDITIONAL TERMS AND CONDITIONS FOR SELLERS IN THE SELECT SALE Guarantees 4.1.1. In addition to Article 3.2 (Guarantees and Indemnities), the Seller shall provide the following guarantees in the case of the Select Sale: a. guarantee of semen quality and fertility of his / her Horse(s) designated for the KWPN performance test (selected Horse) for a period of six months after the Auction. Semen quality is assessed based on the average of two ejaculates, with an interval of approximately one hour. The semen must contain at least 30% living sperm and 30% normally built cells. In the event of a disagreement between the Buyer and Seller regarding the aforementioned, semen quality and fertility will be evaluated by the Faculty of Veterinary Medicine at the University of Utrecht. The evaluation must be conducted within 14 calendar days after the sale at the Seller’s expense. This requirement only applies to Horses selected for the performance test. The Buyer may have the evaluation conducted voluntarily at the Buyer’s expense; b. a guarantee of a normal and properly functioning respiratory system and no evidence of laryngeal hemiplegia. The Horse must also make normal breathing sounds at rest and during work for 1 month after the Auction. The evaluation of the Horse’s respiratory system conducted by the Faculty of Veterinary Medicine in Utrecht is binding; and c. a guarantee that the Horse is free of stable vices (cribbing, weaving and / or wind-sucking). The Buyer must notify the KWPN in writing of any stable vices within 7 calendar days of actual delivery and provide a detailed description of the nature of the stable vices. The KWPN will then appoint a veterinarian to examine the horse. If, in the opinion of that veterinarian, the Horse possesses the stable vices identified by the Buyer, the Seller must pay the associated costs incurred. The Buyer shall pay for costs incurred if the veterinarian deems the Horse free of stable vices. 109

Terms And Conditions for KWPN Auctions 4.2 Registration 4.2.1 In addition to Article 3.3 (Registration and Selection), the following conditions apply to Registration and selection in the case of the Select Sale: a. from the time of Registration, the Seller shall be responsible for the care and supervision of the Horse; b. Horses which have been selected by the KWPN stallion selection committee for the second round viewing and deemed acceptable by a recognized veterinarian and the KSS veterinary committee at a sport inspection, from which the Seller has submitted a veterinary report (+ ancillary findings) to the KWPN, are eligible for the Auction; c. Horses which the KWPN stallion selection committee has selected for the KWPN performance test must pass the KWPN performance test after the Auction. The applicable regulations are available on the KWPN’s website and will be provided upon written request; d. dressage Horses must also be shown on the longe line at a time to be determined. A selection committee appointed by the KWPN will evaluate and select the dressage Horses which qualify for the Select Sale. A decision by the selection committee on this matter is binding; e. the selection committee is authorized to select several wildcards at the KWPN Stallion Show. To qualify for a wildcard, the Horse in question must meet all stipulated veterinary requirements as described in these Terms and Conditions; f. in addition to Article 3.3.8 and in the case of dressage Horses in the Select Sale, radiographs of the neck and back will also be evaluated for purposes of the veterinary report and shall be submitted by the Seller; g. the Horse will be clinically evaluated again by the KSS veterinary committee on the day of the Auction and must be deemed acceptable; h. the Horse is required to be genotyped (DNA analysis) in accordance with KWPN regulations and receive a genomic breeding value for osteochondrosis, unless the Horse is insufficiently related to the KWPN reference population; 110 i. the Horse is required to undergo testing and must be deemed acceptable with respect to a normally functioning respiratory system. The horse must also show no evidence of laryngeal hemiplegia and produce a normal sound while breathing at rest and during work. The respiratory system is assessed on a binding basis by the KWPN evaluation committee for laryngeal hemiplegia; and j. the Horse is required to be tested for Warmblood Fragile Foal Syndrome (WFFS).
